Draft for legal review

This is a tailored draft, not a finalized legal agreement. Before commercial use, confirm the operator’s registered legal name, registration number, address, legal contact, governing law, and dispute forum, and obtain local legal review. Those details have not been supplied and are not invented here.

01Scope, acceptance & order of documents

These draft Terms describe the proposed conditions for using SwiftAd’s website, advertiser workspace, creative tools, digital advertising placements, and related screen services. “SwiftAd”, “we”, and “us” refer to the service operator, whose legal identity must be confirmed before these Terms are finalized. “You” means the account holder or organization placing an order.

When finalized and presented for acceptance, these Terms should be available before registration or purchase. If you act for a company, agency, client, or venue, you must have authority to bind that party. Mere browsing, a demo upload, or viewing this draft does not place an order or create a paid campaign.

A confirmed campaign order determines its screen, dates, purchased airtime, creative, price, and currency. An expressly agreed, signed service agreement takes priority over these Terms for the subject it covers. Mandatory legal rights take priority over every document. New terms should not retrospectively change a confirmed order without agreement or a lawful basis.

02Eligibility, accounts & agency authority

Paid services are intended for persons aged 18 or older, or otherwise legally capable of contracting. Provide accurate account, billing, and business information, keep it current, and protect your credentials. You are responsible for authorized activity through your account; notify us promptly if access is compromised.

Agencies and representatives must have permission to use their clients’ brands, materials, budgets, and destinations. They remain responsible for their instructions and payments unless another arrangement is expressly agreed. Do not impersonate a person or organization, sell account access, or use another account to evade restrictions.

03Services, availability & illustrative content

SwiftAd may provide individual-screen advertising bookings, creative uploads, AI-assisted image or video creation, campaign management, delivery reporting, QR redirect tools, kiosk installation, and connection of compatible existing monitors. Only functionality and services actually available in your workspace or expressly confirmed in an order are offered to you.

Gallery photos, generated environments, sample campaigns, audience estimates, the Playground, and concept videos are illustrations, not proof of a real screen, inventory, price, live campaign, or available installation. Planned worldwide coverage, card support, mobile apps, and campaign-resumption features are not commitments until confirmed as available.

The Playground operates as a simulation. Images or videos added there stay in that browser session; they are not a campaign submission. Points, sample slots, and neighboring ads have no monetary value and do not represent measured delivery.

04Screen bookings, dates & airtime

Each booking concerns one identified screen or kiosk. Advertising in several places requires separate bookings unless a different arrangement is expressly agreed. Review the screen format, location, venue rules, creative duration, campaign dates, and daily purchased seconds before confirming.

Daily and nightly inventory may be offered separately. Daily means the screen’s designated active-hours segment; nightly means the remaining segment, not a guarantee of an open venue or visible audience. Dates and time segments follow the venue’s stated local timezone. The selected allocation mode and available capacity determine how airtime is distributed.

A pending reservation is not an active campaign. Unpaid reservations may expire and release capacity. Display requires confirmed payment, approved content, sufficient inventory, and the scheduled dates. A submission or successful AI generation does not mean an ad is immediately live.

Ads rotate with other content. Purchased airtime is not exclusive screen ownership, continuous display, an exact wall-clock position, or a guaranteed audience. Requests to edit, pause, resume, or extend a campaign are subject to the available controls, approval, inventory, and any price shown before confirmation. Unused time does not automatically roll over.

05Prices, payments, taxes & third parties

The price, currency, applicable taxes, and any separately charged services must be disclosed before a purchase is confirmed. Placement, AI generation, hardware, installation, and custom design are distinct services unless an order expressly bundles them. There is no universal price or accepted-card guarantee on the marketing website.

Only payment methods actually offered at checkout are available. A bank or payment processor may apply its own authentication, settlement, foreign-exchange, or transaction conditions. You authorize the confirmed charge; do not assume recurring charges or automatic renewal unless separately and expressly accepted.

Payment status may remain pending until a provider confirms it. A failed or reversed payment may prevent activation or require suspension. Notify us of a suspected duplicate or unauthorized charge and retain the relevant order and payment reference. These Terms do not remove any statutory payment or chargeback rights.

06Content rules & moderation

You are responsible for your creative, advertising claims, linked pages, offers, and compliance with the laws applying to the advertiser, audience, product, and placement. Obtain necessary licenses, permissions, releases, regulatory approvals, and advertising disclosures before submission.

Do not submit unlawful, fraudulent, misleading, discriminatory, exploitative, or infringing material; malware or phishing destinations; non-consensual intimate material; sexual content involving minors; or content promoting violence or other illegal activity. Restricted products and regulated claims, including financial, medical, gambling, alcohol, tobacco, and political advertising, may require additional approval or may be prohibited for a particular venue or jurisdiction.

Automated checks and human review may be used. Each venue may prohibit categories even if another venue permits them. Approval is specific to the reviewed creative and placement and is not legal advice or a guarantee of regulatory compliance. Material changes to a creative or QR destination may require fresh review.

We may reject, pause, or remove content for a documented policy, technical, safety, legal, or rights-related reason. Where reasonably possible, you should receive the reason and an opportunity to correct or request review. Urgent safety, legal, or security action may precede notice. Moderation does not guarantee detection of every issue.

07Your content, intellectual property & permissions

You retain the rights you hold in your uploaded materials. You grant SwiftAd a non-exclusive license, limited to providing the requested services, to host, technically format, review, distribute, and display your approved creative on booked screens, and to use necessary hosting, moderation, and screen partners for those purposes. This does not transfer ownership or authorize unrelated commercial use of your brand.

You warrant that the necessary rights cover all images, video, music, fonts, logos, people, products, and linked materials, including any public display or performance rights. Rights obtained for online use do not necessarily include public-screen advertising.

SwiftAd’s software, interface, brand, and platform materials remain the property of their respective owners. Do not copy, resell, reverse engineer, or misuse them except as expressly allowed or permitted by mandatory law. Keep your own backups; platform access is not a substitute for a permanent archive.

08AI-assisted creative services

AI creation is a separate paid service where offered. Any user-facing fee or credit cost must be shown before the action is confirmed. Generated output is probabilistic: it may contain inaccurate claims, visual defects, unintended similarities, or material that cannot be protected exclusively by intellectual-property law.

Review every result before advertising. Do not represent generated people or endorsements as real without permission and legally required disclosure. Do not use a third party’s likeness, voice, trademark, or copyrighted material without adequate rights. Generation does not guarantee an original, exclusive, lawful, screen-ready, or moderation-approved output.

Inputs may be processed by the AI service providers used to fulfill your request. Provider-specific rights, retention, and data-use conditions must be disclosed separately where relevant; do not submit confidential or sensitive material without checking those conditions. SwiftAd cannot grant rights it does not hold in a provider’s output.

Any cancellation or refund limitation for a generation job must be disclosed before purchase and comply with mandatory law. A completed generation and a screen placement are separate services: rejecting a placement does not by itself mean the generation was not delivered. Technical failures and disputed charges should be reviewed using the job and payment records.

09Delivery records, forecasts & performance

Completed screen plays and delivered airtime are the basis of delivery reporting, not a count of people who saw the advertisement. A completed play means recorded completion of a playback event; it does not establish viewer attention, a unique impression, a website visit, or a sale.

Audience figures based on location, visits, or other modeling are estimates and may vary materially from real conditions. SwiftAd does not guarantee reach, conversions, revenue, scan counts, engagement, or business outcomes unless a specific written agreement expressly states otherwise.

Connectivity interruptions can delay reporting. Reconciliation should use the relevant booking and available playback records, including incomplete plays and duplicate-event checks. If you dispute a report, provide the campaign, screen, dates, and discrepancy so the relevant records can be reviewed. No report converts simulated activity into billable delivery.

10QR redirects & destination responsibility

Where enabled, a campaign QR code may redirect a visitor through a tracking link to the destination you configure. You must control or have permission to use that destination, maintain its availability, and keep it lawful, secure, and consistent with the approved advertising.

Do not use redirects to bypass moderation, conceal a prohibited offer, collect data unlawfully, distribute malware, or mislead visitors. We may disable a link that creates a credible safety, legal, or policy risk. QR scanning depends on device capabilities, connectivity, display size, and audience behavior; scan activity is not proof of a unique person, purchase, or attribution.

Your destination’s privacy notices, consent mechanisms, sales terms, and customer support are your responsibility. Any scan-event processing and its retention must be addressed in the applicable privacy disclosures; these Terms do not substitute for those disclosures.

11Cancellations, rejected creatives & underdelivery

Before purchase, the order must state any cancellation cutoff, service fee, rescheduling condition, and treatment of unused airtime. Do not assume that a pause cancels a booking or that cancellation after delivery entitles you to a full refund. A rule introduced after confirmation should not retrospectively reduce your rights.

If a creative is rejected before placement, the unused placement payment should be assessed for refund or an agreed replacement creative or booking. Any deduction must relate to a separately disclosed, lawfully charged service actually provided; rejection is not a blanket authorization to retain unspent placement funds.

If confirmed paid airtime is not delivered for reasons attributable to SwiftAd, request reconciliation. Depending on the facts and your legal rights, an appropriate remedy may be agreed redelivery, a credit you accept, or a proportionate refund for undelivered placement. Credits or substitute dates should not replace a legally required refund without your agreement.

No precise refund deadline, automatic credit workflow, or bank settlement date is promised by this draft. A confirmed remedy must be communicated clearly and handled through the applicable payment channel where practicable. Mandatory consumer cancellation, refund, and defective-service rights remain unaffected.

12Venue partners, hardware & connected monitors

Installing a kiosk, hosting a screen, sharing venue revenue, or connecting an existing monitor requires a separate written arrangement identifying the parties, specifications, site permissions, responsibilities, commercial terms, and acceptance criteria. A marketing enquiry does not establish a partnership.

A venue partner must have authority to approve installation and public advertising, disclose site restrictions, and provide the agreed access, safe conditions, power, connectivity, and operating information. Outdoor installations may require permits, structural assessment, weather protection, and local approvals. Technical compatibility must be confirmed before an existing monitor is connected.

Ownership of hardware, installation charges, maintenance, insurance, utilities, damage responsibility, content restrictions, revenue share, minimum performance, removal, and exclusivity are not implied; they must be agreed in the partner order or contract. SwiftAd does not guarantee venue earnings merely because a screen is installed.

13Privacy, cookies & security

Personal-data processing requires separate, accurate privacy disclosures identifying the responsible operator, purposes, lawful bases, recipients, retention, international transfers where applicable, and how individuals exercise their rights. These Terms are not a Privacy Policy and do not treat acceptance of a contract as universal consent to tracking.

The public-site cookie controls let visitors accept, reject, or customize optional analytics and advertising permissions. The preference is stored in browser storage for 180 days; necessary security, access, and preference storage remain separate. Optional permissions may be changed through Cookie settings. Enabling a preference alone does not install a tracking tool.

Do not upload unnecessary sensitive data, other people’s private information, or content you are not entitled to share. Never attempt unauthorized access, attack the platform, interfere with devices or reporting, scrape restricted data, circumvent payment or moderation, or disclose account credentials.

14Service interruptions, restrictions & termination

Screens and online services may be affected by maintenance, venue closures, outages, network failures, safety issues, provider disruption, or events beyond reasonable control. No uptime percentage or uninterrupted service is promised unless stated in a signed service-level agreement. Confirmed paid delivery and any resulting remedy still require fair reconciliation.

We may restrict or suspend access where reasonably necessary to address a material breach, credible security risk, unlawful activity, payment reversal, or legal requirement. Where practicable, provide reasons, notice, and a reasonable opportunity to resolve a remediable issue. Restrictions should be proportionate to the risk.

You may stop using the platform and request account closure through support. Closure does not erase lawfully incurred charges, completed delivery, outstanding order obligations, or records that must lawfully be retained. Any unresolved paid order must be addressed; the effect on unused placements depends on the order and mandatory law.

15Responsibility, warranties & liability

Each party is responsible for its own acts, omissions, legal obligations, and representations. You are responsible for the accuracy and rights in your advertisements and for the goods or services you promote; SwiftAd is responsible for providing services it expressly commits to deliver.

To the extent permitted by law, no additional warranty is given that the platform or AI output will be error-free, meet every business objective, or produce particular marketing results. This does not exclude any express order commitment or mandatory warranty.

Any proposed limitation for indirect loss, lost profit, or a monetary liability cap requires confirmation in the final agreement and must be lawful and reasonable. This draft does not impose an invented numerical cap. No provision excludes liability or a remedy that cannot lawfully be excluded, including mandatory consumer rights and applicable liability for fraud, deliberate misconduct, or personal injury.

A rights-related claim concerning your creative should be promptly notified and reasonably cooperated on. A separate indemnity, if agreed, must define its scope, defenses, settlement control, and lawful limits; this draft does not impose an unlimited indemnity.

16Complaints, governing law & disputes

Start by contacting account support with the order reference, relevant dates, the issue, and the resolution you request. Keep payment confirmations and creative versions. Good-faith discussion is encouraged, but it does not prevent a statutory complaint, chargeback, regulatory report, or court claim, or suspend a legal deadline unless lawfully agreed.

The operator’s jurisdiction, governing law, competent courts, and required legal contact must be confirmed before finalizing this agreement. This draft intentionally does not invent a governing country, impose mandatory arbitration, or require a waiver of collective or consumer remedies. Mandatory protections that apply to a user cannot be removed simply by selecting another law.

The English and Georgian versions are provided for accessibility. No automatic language-precedence rule is imposed by this draft; any governing-language clause must be expressly confirmed and must not undermine required local-language information or statutory rights.

17Changes, notices & general provisions

Keep the version and date of the terms accepted with each order. Material changes should be communicated before they apply, using the account or another agreed notice channel, with a fresh acceptance step where required. Already confirmed orders should continue under their agreed conditions unless the parties agree otherwise or law requires a change.

If a clause is unenforceable, the remaining lawful provisions continue where the agreement can reasonably operate without it. Failure to enforce a clause once is not a permanent waiver. No assignment should reduce mandatory user rights or conceal the identity of the contracting operator.

Before this draft is used as a binding agreement, the operator details, legal contacts, governing law, dispute forum, acceptance process, privacy disclosures, and commercial cancellation and remedy rules must be completed and reviewed. This text must remain consistent with the services actually offered and the information shown at checkout.
